The transaction is expected to close in Q3 2026 and will result in approximately 3.4% dilution based on the company’s post-IPO valuation. The rapid move from a strategic partnership-announced just two months prior on April 21, 2026-to a full acquisition was pre-structured via a call option.
Cursor’s flagship offering, the Composer model, functions as an autonomous coding agent. SpaceX leadership indicated the acquisition secures both the engineering team and a technology stack capable of accelerating software development across all divisions.
